Terms of Service

By accessing or using the Uniaivi platform, including the website at uniaivi.com and the AI + VI chat service (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. We may update these Terms from time to time — continued use of the Service after any changes constitutes your acceptance of the updated Terms.

Uniaivi provides an AI + VI (Artificial Intelligence + Virtual Intelligence) chat platform that allows users to interact with Eve, our conversational intelligence system. The Service includes the chat interface, conversation history, account management, and any related features we make available.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

Registration. To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

Security. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] if you suspect any unauthorised access to your account.

Eligibility. You must be at least 16 years old to create an account. By creating an account, you represent that you meet this requirement.

One account per person. You may not create multiple accounts or share your account with others.

You agree not to use the Service to:

• —Generate, transmit, or store content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• —Impersonate any person or entity, or falsely represent your affiliation with any person or entity
• —Attempt to gain unauthorised access to any part of the Service or its related systems
• —Interfere with or disrupt the integrity or performance of the Service
• —Use automated means (bots, scrapers, crawlers) to access the Service without our prior written consent
• —Reverse engineer, decompile, or attempt to extract the source code of the Service
• —Use the Service to train, fine-tune, or evaluate competing AI models without our prior written consent
• —Violate any applicable law or regulation

We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these Terms.

Your content. You retain ownership of the messages and content you submit through the Service ("User Content"). By submitting User Content, you grant Uniaivi a non-exclusive, worldwide, royalty-free licence to store, process, and display your User Content solely for the purpose of providing the Service to you.

Responsibility. You are solely responsible for your User Content and the consequences of submitting it. You represent that you have all necessary rights to submit your User Content and that it does not violate any third-party rights or applicable law.

No training without consent. We do not use your conversation content to train our AI models without your explicit, opt-in consent.

Removal. We reserve the right to remove any User Content that violates these Terms or that we determine, in our sole discretion, is otherwise harmful or inappropriate.

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Uniaivi and its licensors. The Uniaivi name, logo, and all related marks are trademarks of Uniaivi. You may not use our trademarks without our prior written permission.

Nothing in these Terms grants you any right to use Uniaivi's intellectual property other than as expressly set out here.

Nature of outputs. The Service uses AI to generate responses. These responses are generated automatically and may not always be accurate, complete, or appropriate. You should not rely on AI-generated outputs for medical, legal, financial, or other professional advice.

No warranty on outputs. We make no representations or warranties regarding the accuracy, reliability, or suitability of any AI-generated content. You use AI outputs at your own risk.

Ownership. To the extent permitted by applicable law, you own the outputs generated in response to your inputs. However, because similar inputs may produce similar outputs for other users, we cannot guarantee exclusivity.

Billing. Certain features of the Service are available on a paid subscription basis. By subscribing to a paid plan, you agree to pay the applicable fees as described on our Pricing page.

Renewals. Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date.

Refunds. We offer a 14-day refund on new subscriptions. After 14 days, payments are non-refundable except where required by applicable law.

Changes to pricing. We reserve the right to change our pricing at any time. We will provide at least 30 days' notice before any price increase takes effect for existing subscribers.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that the results obtained from using the Service will be accurate or reliable.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNIAIVI AND ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) €100.

These Terms are governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Paris, France.

If you are a consumer resident in the European Union, you may also benefit from any mandatory provisions of the law of your country of residence.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us at [email protected]. Upon account deletion, your personal data will be handled in accordance with our Privacy Policy.

Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.
